Kate Westfall represents private equity firms and strategic investors nationwide in the structuring and negotiation of mergers and acquisitions, as well as senior and mezzanine financing matters. She specializes in middle-market deals with transaction values between $10 million and $250 million.
Kate has significant experience advising angel investors and funds with respect to financings and other strategic investment matters. Clients trust Kate to counsel them throughout the entire life cycle of their companies, from formation to exit. Business owners at all stages of growth turn to her for strategic and complex transactions, including formation matters, capital-raising efforts, venture capital financings, governance, mergers and acquisitions, and securities law matters.
With an MBA in addition to her law degree, Kate offers advice with insight that intersects law and business. She focuses on the financial impact and practical implications of decisions, avoiding the legal minutiae that can hinder progress toward her clients’ goals.
Outside the office, Kate is a passionate and accomplished soccer player. She was selected as an NCAA Division I All-American at Harvard, and later coached Division I soccer at Mercer University. In 2019, she was inducted into the Harvard Varsity Club Hall of Fame as one of the most accomplished student-athletes to have graduated from the school.

- Assists Internet and other start-up companies with formation, debt and equity financing and general corporate matters
- Drafting and reviewing business agreements, including supply, distribution, non-competition, non-disclosures, consulting and licensing agreements
