James Bedore is of counsel in Reinhart’s Corporate Law and Securities practices, and a former member of the firm’s board of directors. Jim advises clients on a wide range of corporate and securities matters, including mergers and acquisitions, public and private securities offerings, private equity transactions and other financing arrangements. He frequently works with companies on securities compliance, corporate governance, activist investor matters, shareholder engagement and executive compensation, and counsels boards of directors, special committees and other board committees in transactions, investigations, shareholder and activist investor matters and corporate governance issues.

Before returning Reinhart in 2025 (where he previously practiced from 1985 to 2018), Jim served for five years as executive vice president, secretary and general counsel of NCR Corporation. At the time of his joining the company, NCR was an $8 billion NYSE company with approximately 35,000 employees operating in more than 120 countries. In that role, he oversaw the company’s worldwide legal functions during a period of dynamic activity, including numerous acquisitions and a spin-off of NCR Atleos, the company’s $4 billion ATM and self-service banking business.

With more than four decades of experience in both law firm and corporate settings, Jim brings deep technical knowledge and a practical, solutions-oriented approach to sophisticated matters involving multiple stakeholders. Clients value his responsiveness, business-minded perspective and ability to deliver clear, effective guidance on both business and legal issues.

Outside of the office, Jim enjoys golfing, boating and traveling.

Matters

  • Led the team that developed and presented a response to Institutional Shareholder Services (ISS), securing a rare reversal of an ISS Say-on-Pay recommendation, with ISS changing its opposition to a Say-on-Pay to support the proposal and recommend for approval.
  • Led legal matters for NCR’s successful acquisition of a large public company involving the termination of an existing merger agreement with another acquirer following NCR’s topping bid and securing numerous regulatory approvals to complete the transaction.
  • Advised on the spin-off of NCR Atleos from NCR Corporation, a yearlong project separating an $8 billion global business into two independent entities. The work included obtaining numerous governmental approvals, dividing pension and benefit plans, splitting contracts and extensive work with the SEC.
  • Advised in responding to a cybersecurity incident. Coordinated legal strategy with other activities to resolve the incident.
  • Advised on activist investor matters.
