Financial institution corporate law
The firm's financial institutions team has extensive experience in representing clients in all aspects of corporate law affecting financial institutions including the creation and structuring of holding companies; the acquisitions and mergers of banks and other financial institutions and the financing of those institutions through public securities offerings, private placements and the issuance of trust preferred; as well as subordinated and other forms of debt offerings. The firm's lawyers work continuously with regulatory officials in Washington D.C., Madison, WI and elsewhere to assure client compliance with the vast array of rules and regulations of federal and state authorities who supervise financial institutions.
Commercial Lending
The firm has a well-deserved reputation of expertise in all aspects of commercial lending including bank syndications, secured and unsecured loan structuring, negotiation and documentation, tax-exempt financing, real estate and construction lending and mortgage securitization. Several of our lawyers are regularly responsible for the largest and most sophisticated credit transactions, as well as others who are highly capable but less experienced—usually newer attorneys who can represent financial institutions and borrowers in less complicated transactions on a highly cost-effective basis. Reinhart lawyers also regularly advise related areas of credit accommodation, including:
Trust Company and Trust Administration Law and Litigation
The firm's financial institutions lawyers work regularly with attorneys in our Trusts and Estates Practice to advise clients about all aspects of trust and fiduciary law including the establishment and administration of trust companies and compliance with trust, fiduciary and investment advisory laws and regulations.
We also have extensive experience representing clients in fiduciary litigation. We advise and defend trustees (including trust companies) who have made alleged mistakes and where investment decisions have been questioned. We help trustees anticipate problems involving trust interpretation or problem assets and assist in seeking resolution of these issues, in court or otherwise.
Loan Restructuring and Insolvency Matters
Reinhart was the first of the large business law firms in Milwaukee to establish a business bankruptcy practice. Our lawyers work with other members of the firm's financial institutions team to provide advice to clients about limiting credit risk through advantageous documentation and credit facility structuring, and to provide representation after borrower default and insolvency. We have extensive experience representing creditors in out-of-court workouts and in both state and federal receivership, reorganization and bankruptcy proceedings. The firm sometimes represents money centers and international financial institutions needing legal representation in insolvency proceedings in Wisconsin.
