Tracey L. Klein is a shareholder in the firm's Health Care Practice, chair of the Hospitals and Health Care Systems group and co-chair of the Government Relations group. Ms. Klein has served as general counsel to acute care hospitals, multiprovider health care systems, multispecialty clinics, managed care companies and health insurance companies for more than 20 years. She has experience in regional and national transactions involving health care providers and insurance companies including the formation of joint operating entities, hospital affiliations and mergers, the formation of physician group practices and the formation and reorganization of insurance companies.
Ms. Klein has significant experience in the area of corporate governance. Ms. Klein routinely provides legal support and counsel to health system Boards of Directors, as well as the compensation, governance and nominating committees. Ms. Klein conducts frequent educational sessions on D&O coverage, audit committee and accounting issues, as well as on the requirements imposed on publicly traded companies by the Sarbanes-Oxley Act. Ms. Klein attended the 2003 Kellogg School of Management Program on "Strategies for Improving Directors' Effectiveness."
Tracey Klein currently serves Wisconsin's First Lady, Tonette Walker, in her capacity as a member of the Wisconsin First Lady Advisory Council (WI-FLAC). This council was formed to assist and counsel the First Lady, bringing attention to the work of organizations and individuals being performed within the State of Wisconsin, leaving Wisconsin a better place for future generations. The advisory members play a critical role, as recognized community leaders, in communicating goals and activities of the First Lady throughout the State of Wisconsin. The Council meets periodically to review the activities and plans of the First Lady and provides advice and direction.

Served as special counsel in Wisconsin in the revamping of medical staff By-Laws for four hospitals. Assisted in physician disciplinary proceedings and conducted a fair hearing and appellate review process in this matter

Currently serving as special counsel to a large, multihospital system in Wisconsin in a medical staff consolidation initiative to establish system-wide medical staff and dissolve medical staffs of subsidiary hospital corporations

Served over the past year as general counsel to a health system in Illinois, with respect to the construction of a $100 million replacement acute care hospital, where she supervised the filing of the application for certificate of need before the Health Facilities Planning Board in Illinois and the negotiation of agreements with the developer, general contractor, financial advisor and architect. She also supervised the issuance of tax-exempt bonds to fund construction costs, performed the legal work to successfully obtain a favorable recommendation for property tax exemption from the DeKalb County Board of Review and obtained a favorable ruling from the Illinois Department of Revenue. In addition, she reviewed and liberalized all charity care policies in light of Provena/Carle decisions denying property tax exemption.
