Timothy A. Nettesheim is a shareholder in the firm's Business Law and Tax Practices, as well as a member of the Financial Markets Crisis Team. Tim is also the managing shareholder of the firm's Waukesha office. Tim functions as a trusted advisor to closely held business clients whom he guides through every stage of the business life cycle including acquisitions, expansion, shareholder buyouts, contracts with vendors and employees, tax planning strategies, negotiating financing transactions, management succession and sales of the businesses.
 

Tim is a well-known author and speaker for various business and professional organizations including the State Bar of Wisconsin, Continuing Legal Education of Wisconsin, Lorman and the Wisconsin Institute of Certified Public Accountants. Tim shares his professional knowledge and experience on a variety of practical tax issues including state and federal taxation, multistate taxation, New Markets Tax Credits, real estate taxation, executive compensation and other tax issues affecting closely held businesses.

A noted teacher, Tim is a former member of the adjunct faculty for the highly regarded Graduate Tax Program of the University of Wisconsin-Milwaukee's School of Business Administration, where he taught Corporate Tax Strategies. He has also lectured on business law in the general practice category at the University of Wisconsin Law School. 

Representative Matters and Experience

  • Helping a manufacturing client to seek out an acquisition target and obtain investment capital to provide liquidity to the business owner while simultaneously funding the acquisition
  • On behalf of a large real estate development corporation, revising and restructuring its development relationships to ensure greater control while obtaining the most advantageous tax benefits
  • On behalf of a minority shareholder, negotiating the buyout of the majority shareholder and counseling the client to obtain 100% financing on the transaction
  • Working to help a food industry client plan and strategize a $26 million expansion while obtaining $2 million in capital from New Markets Tax Credits
  • Resolving a family business dispute by helping a  one-third shareholder in a condominium development to negotiate an exit strategy resulting in his buyout with favorable value and tax consequences
  • Structuring an ownership succession plan for a senior generation client owning 30 national quick service restaurants worth $20 million that permitted the transfer of the restaurant business to the junior generation with no adverse income and estate tax consequences
  • Structuring a joint venture transaction between a printing industry client and a Midwest logistics business, resulting in the client acquiring controlling ownership of the logistics business that supplemented the client's printing operation
