Thomas A. Myers is a shareholder in the firm's Business Law Practice. His clients include manufacturers and distributors of medical devices, plastic products, chemicals, paper and pulp, food, and heavy equipment as well as large retailers, software companies, mezzanine lenders, private equity sponsors and other financial institutions. His clients also include a large marina operator with operations throughout the United States and new technology businesses in all stages of development.

Tom has served as lead attorney for both sellers and buyers of businesses. In his mergers and acquisitions practice, Tom has represented public corporations, families and leveraged buyout funds. He speaks regularly to business groups regarding all legal aspects of the business purchase and process including valuation, negotiations, taxation, business structure, documentation and due diligence, as well as the process of marketing a business for sale.

• Represented a family in the sale of the family business to a leveraged buyout fund

• Developing an efficient tax structure and limiting the family's future liability
• Developing an international distribution agreement for sales of an innovative medical device to Taiwan and China
• Developing a complex and efficient operating agreement for a limited liability company in the graphics industry
• Negotiating at the local, state and federal level to ensure the development of a marina on behalf of a client
• Working with a family with diverse business interests to develop a dynamic business plan enable the family to transition ownership from one generation to the next
• Negotiating and documenting a joint venture arrangement for the development, manufacture, marketing and sale of a cutting-edge medical device
